SPV — Special Purpose Vehicle

A company formed for a single, narrow purpose — typically holding an asset, hosting a joint venture, or isolating risk from a parent group.

In practice

SPVs are the workhorses of corporate structuring. Common forms: ADGM SPV (UAE), BVI BC (offshore), Cayman Exempted (offshore). SPVs typically have no employees, no operations, and exist to hold specific shares, IP, real estate or contractual rights. Designed for tax-neutrality and clean cap-table architecture.
