An official certificate from the company registry confirming that a company is in good standing — annual fees paid, filings up to date, no de-registration in progress.

In practice

Required by banks, counterparties and government agencies as evidence of valid corporate existence. Issued by the regulator on demand (typically USD 200-500). Specific to a date — recipients usually accept certificates less than 30 days old.
