The internal rules and constitution of an English common-law company, governing director powers, share rights, shareholder meetings and decision-making.
In practice
Used in ADGM, DIFC, BVI, Cayman, Singapore and Australia — the English common-law tradition. UAE mainland and civil-law free zones use a Memorandum of Association (MOA) instead. The two are functionally equivalent: founding constitutional documents of the company.
